- "Services": Includes IT project management, project rescue & turnaround, strategic cloud adoption advisory, end-to-end delivery management, business consulting, vendor oversight & quality assurance, digital marketing guidance, web & app development advocacy, and other related consulting services detailed in a Statement of Work (SOW) or Service Agreement.
- "Agreement": Includes these Terms of Service and any executed documents like a Memorandum of Engagement (MOE), SOW, Service Agreement, NDA, etc.
- "Confidential Information": Non-public information disclosed by either party.
- "Intellectual Property (IP)": Patents, copyrights, trademarks, trade secrets, and other IP rights.
- "Statement of Work (SOW)": A detailed document outlining the project scope, deliverables, timelines, and payment terms.
2. Scope of Services
The specific services to be provided will be outlined in a mutually agreed-upon SOW. Any changes to the scope must be approved in writing. The services will follow NexSolve Partners' proprietary "Proven Adaptive Methodologies" (PAM) framework.
3. Client Responsibilities
Client responsibilities include timely cooperation, providing accurate and legal data/content, reviewing and approving deliverables, and adhering to payment schedules.
4. Fees and Payment
Payment terms are specified in the SOW, with a typical schedule of 30% upfront, 30% at the project midpoint, and 40% upon final delivery held in escrow. A 40% refund is possible if a client is unsatisfied, subject to the Service Agreement.
5. Intellectual Property
Clients own deliverables upon full payment, while NexSolve Partners retains ownership of its frameworks and tools.
6. Confidentiality
Both parties must maintain strict confidentiality for three years post-termination.
7. Governing Law and Jurisdiction
The agreement is governed by and construed in accordance with the laws of India. Any disputes will be submitted to mediation/arbitration in India.
